AfricanBrains terms and conditions of membership and usage

1. Introduction

This agreement (the “Agreement“) should be read by you (the “User” or “you“) in its entirety prior to your use of AfricanBrains. Please note that the Agreement constitutes a legally binding agreement between you and AfricanBrains Ltd the owners and operators of www.africanbrains.org and www.africanbrains.net. In addition to the terms and conditions of this Agreement, please review our Privacy Policy, our Commercialisation Policy, our ethical charter, the Special Policy for Protecting Your Ideas and our Online Content & Conduct Guidelines. The aforementioned policies all come under these terms and conditions of membership.

By clicking the “I Agree” button at the point of submitting your membership registration, you consent to the terms and conditions set forth in this Agreement, the privacy policy, our commercialisation policy and the special policy for protecting your ideas as each may be updated or modified from time to time in accordance with the provisions below and therein. You also agree to abide by the principles set out in our ethical charter

2. Privacy

Your privacy is of great importance to us. Please review our privacy policy which clearly states how we collect and use information on AfricanBrains. We encourage you to read the Privacy Policy, and to use the information it contains to help make informed decisions. By accepting these terms and conditions you immediately agree to the terms laid out in our privacy policy

3. Commercialisation Policy

The whole point of AfricanBrains is to have your ideas commercialised in partnership with major international companies. Please review our commercialisation policy as it provides a clear statement of how we implement your ideas and ensure that you are provided the agreed rate of financial return. By accepting these terms and conditions you immediately agree to the terms laid out in our commercialisation policy

4. Special Policy for Protecting your Ideas

When you submit a technological or engineering or any innovative solution to the AfricanBrains Webmaster you wish to be sure that your ideas are automatically copyrighted. By accepting these terms and conditions you immediately agree to the terms laid out in our special policy for protecting your ideas.

5. Sharing your content and information

You own all of the content and information you post on AfricanBrains and you can control how we share your content through your privacy settings. The sharing of your information is subject to the terms of our privacy policy and the submission of your ideas to the AfricanBrains Webmaster is subject to the terms of our commercialisation policy, our ethical charter and agreement to our special policy for protecting your ideas. In order for us to use certain types of content and provide you with AfricanBrains, you agree to the following:

a). For content that is covered by intellectual property rights, like photos and videos (“IP content”), you specifically give us the following permission, subject to your privacy settings: you grant us a non-exclusive, transferable, sub-licensable, royalty-free, worldwide license to use any IP content that you post on or in connection with AfricanBrains (“IP License”). This does not relate to your rights and ownership of actual ideas that you post privately to the AfricanBrains Webmaster, whereby these rights of intellectual ownership and copyright come under the terms of our special policy for protecting your ideas.

b). When you delete IP content, it is deleted in a manner similar to emptying the recycle bin on a computer. However, you understand that removed content may remain within back up copies for a reasonable period of time, but this information will not be available to third parties.

6. Ethical use of AfricanBrains

AfricanBrains has its own ethical charter. In brief it is aimed at ensuring that any inventions and ideas conform to a set of ethical principles and by confirming your agreement to these terms and conditions you agree to adhere to the standards of our ethical charter.

7. Terms of registration and account security

AfricanBrains users and members provide real names and information. To ensure the integrity of the site and that the integrity of your work remains then you agree to the following commitments relating to your registration and personal account information:

i) You will not provide any false information about yourself on AfricanBrains
ii) You will not create an account for any other without their prior consent
iii) You will not use AfricanBrains if you are on the US Treasury Department’s list of specially designated nationals (SDNs). See www.treas.gov/offices/enforcement/ofac/sdn/
iv) You will not share your password and personal log in information with anyone else or take any account that might jeopardise the security of your account or the integrity and security of the AfricanBrains network
v) You will keep your personal details and contact information up to date and accurate
vi) You will not transfer your account to anyone without getting prior written permission in advance from AfricanBrains Ltd, owner and operator of www.africanbrains.org and www.africanbrains.net
vii) You will not collect other users’ information, or otherwise access AfricanBrains, using automated means such as harvesting bots, robots or electronic spiders.
viii) You will not solicit log in information or access an account belonging to someone else.
ix) You will not use automated technology to spam the website or upload any viruses, worms, spyware or other malicious code.
x) You will not bully, harass or intimidate any other user. You will refrain from the use of offensive or intimidating language to any other user and will use the site as per the standards outlined within our ethical charter.
xi) You will not post content that is hateful, threatening, pornographic, or that contains nudity or graphic and gratuitous violence. Nor shall you post any material that incites any form of religious or racial or cultural hatred or intolerance.
xii) You will not facilitate or encourage any violations of these terms and conditions of AfricanBrains

8. Protecting the rights of other users

It is essential, that for AfricanBrains to work effectively then all users and members must respect the rights of others:

i) You will not post any content on AfricanBrains that infringes upon the rights of any other person or group of people or any action that violates local and international laws on human rights. Further detail of international human rights is provided within the AfricanBrains ethical charter.
ii) An essential part of the AfricanBrains network is the protecting of your ideas as well as protecting the ideas of others. Any violations of such protections can be reported to the AfricanBrains Webmaster. For further details on the protection of such rights see our special policy for protecting your ideas
iii) You will not post anyone else’s personal log in information or identification information or sensitive financial documents
iv) AfricanBrains reserves the right to remove any content that we feel violates these terms of protection of rights of other users as well as violation of our ethical policy. In the event of such removal you will have the opportunity to appeal the decision by emailing appeals@africanbrains.org
v) Repeated infringement of other people’s rights may result in the disablement or complete termination of your account. This is at the sole discretion of AfricanBrains
vi) You shall not use our copyrights or trademarks or the AfricanBrains logo or strap-line “The Home of Intelligent Networking” without our prior written permission

9. Mobile

AfricanBrains is currently in discussion with mobile communications service providers to allow for AfricanBrains networking to take place on your mobile phone. Further amendments and changes to our terms and conditions will follow once we provide a mobile networking service.

10. Corporate partners, sponsors and advertisers

For the successful functioning of AfricanBrains and for the commercialisation of your ideas to take place it is essential that we work with the world’s leading companies and operators. These companies will be broadly divided into the following sectors, though this list is neither final nor exhaustive:

  • Aerospace
  • Agriculture
  • Automotive & transport
  • Chemical engineering
  • Computing & information technology
  • Electronics
  • Energy and power generation
  • Engineering
  • Environmental technologies
  • Financial services
  • Healthcare
  • Industrial manufacturing
  • Minerals & natural resources
  • Pharmaceuticals
  • Telecommunications

When joining AfricanBrains and when submitting your ideas to the AfricanBrains webmaster you will be asked which of the above industrial sectors are applicable to you or your ideas. You may choose more than one sector where appropriate.

It is essential that our corporate partners and sponsors gain benefit from their support of the site. Part of that benefit is having controlled access to information about users. You hereby give consent for us to release such information to our corporate partners and sponsors as per the overall terms of our privacy policy.

It is our aim that we maximise the benefits available to our corporate partners, sponsors and advertisers. Of course, such commercial support is valuable to you also. In order for us to maximise such benefits to advertisers then you agree to:

i) Accept advertisements being placed on any part of the AfricanBrains website
ii) Accept that we provide your information (excluding passwords) to our corporate partners or any third party company that may be involved in the commercialisation of your idea. This is meant purely for your benefit to ensure maximum return on your inventions and innovations. We will inform you in advance which commercial partners we shall contact and you may also state your preference of commercial partners. For further details please see our commercialisation policy. The provision of such information to any third party shall be conducted under the guidance of the Data Protection act 2002
iii) Accept that we may agree additional services to advertisers such as pop-ups or email marketing

Additional terms and conditions applicable to advertisers and corporate sponsors form part of their advertising or partnership package and may be provided to you on request. For a copy of these terms please email advertising@africanbrains.org

11. No Warranties

i) AfricanBrains disclaims any and all warranties, expressed or implied, in connection with the Service which is provided to you “AS IS” and we provide you with no warranty or representation whatsoever regarding its quality, fitness for purpose, completeness or accuracy.
ii) Regardless of our efforts to provide you with service of the highest quality, safety and security, we make no warranty that the Service will be uninterrupted, timely or error-free, that defects will be corrected or that the services found therein shall be free from viruses or bugs.
iii) AfricanBrains reserves the right to suspend, discontinue, modify, remove or add to the Service in its absolute discretion with immediate effect and without an obligation to provide you with notice and we shall not be liable in any way whatsoever for any loss suffered as a consequence of any decision made by AfricanBrains in this regard.

12. Authority

AfricanBrains retains authority over the issuing, maintenance, and closing of Users’ accounts at AfricanBrains. The decision of AfricanBrains’ management, as regards any aspect of a User’s account, use of the Service, or dispute resolution, is final and shall not be open to review or appeal.

13. Breach

13.1. Without prejudice to any other rights, if a User breaches in whole or in part any provision contained herein, AfricanBrains reserves the right to take such action as it sees fit, including terminating this Agreement, immediately blocking access to the Service to such User, terminating such User’s account with AfricanBrains and/or taking legal action against such User.

13.2. You agree to fully indemnify, defend and hold harmless AfricanBrains and its shareholders, directors and employees from and against all claims, demands, liabilities, damages, losses, costs and expenses, including legal fees and any other charges whatsoever, howsoever caused, that may arise as a result of:

  • 13.2.1. your breach of this Agreement, in whole or in part;
  • 13.2.2. violation by you of any law or any third party rights; and
  • 13.2.3. use by you of the Service or use by any other person accessing the Service using your Login Credentials (username and password), whether or not with your authorization.

14. Amendment

AfricanBrains reserves the right to update or modify this Agreement or any part thereof at any time without notice and you will be bound by such amended Agreement within 14 days of it being posted at the Site. Therefore, we encourage you to visit the Site regularly and check the terms and conditions contained in the version of the Agreement in force at such time. Your continued use of the Site shall be deemed to attest to your agreement to any amendments to the Agreement.

15. Governing Law

The Agreement and any matters relating hereto shall be governed by, and construed in accordance with, the laws of the United Kingdom and Northern Ireland. Each party irrevocably agrees that the relevant courts of the United Kingdom and Northern Ireland shall have exclusive jurisdiction in relation to any claim, dispute or difference concerning the Agreement and any matter arising therefrom and irrevocably waives any right that it may have to object to an action being brought in those courts, or to claim that the action has been brought in an inconvenient forum, or that those courts do not have jurisdiction.

16. Severability

If a provision of this Agreement is or becomes illegal, invalid or unenforceable in any jurisdiction, that shall not affect the validity or enforceability in that jurisdiction of any other provision hereof or the validity or enforceability in other jurisdictions of that or any other provision hereof.

17. Assignment

AfricanBrains reserves the right to assign this agreement, in whole or in part, at any time without notice. The User may not assign any of his/her rights or obligations under this Agreement.

18. Miscellaneous

18.1. This statement makes up the entire agreement between the parties regarding AfricanBrains is inclusive of our privacy policy, commercialisation policy, ethical charter and special policy for protecting your ideas and supersedes any prior agreement, understanding, or arrangement between you and us.

18.2. No waiver by AfricanBrains of any breach of any provision of this Agreement (including the failure of AfricanBrains to require strict and literal performance of or compliance with any provision of this Agreement) shall in any way be construed as a waiver of any subsequent breach of such provision or of any breach of any other provision of this Agreement.

18.3. Nothing in this Agreement shall create or confer any rights or other benefits in favour of any third parties not party to this Agreement.

18.4. If any portion of this agreement is found to be unenforceable, the remaining portion will remain in full force and effect.

18.5. Any amendment to or waiver of this statement must be made in writing and signed by us.

18.6. The User must provide full and truthful information in respect of all details and information requested by AfricanBrains in connection with the User’s use of the Service subject at all time to the terms of the our privacy policy

18.7. The English language version of this Agreement shall be the prevailing version in the event of any discrepancy between any translated versions of this Agreement

18.8. This statement does not confer any third party beneficiary rights
